How to choose an LLC name the state will accept

LLC naming is the one naming job with a referee. These five checks cover the rules that actually reject filings, plus the two things a state acceptance does not give you.

  • Pass the distinguishable-name test. Roughly 40 states require your name to be distinguishable upon the record from every registered entity. The test is strict: a different entity type does not count, so The Auto Store LLC loses to an existing The Auto Store Inc., and neither do abbreviations, phonetic spellings, "and" versus "&", or punctuation.
  • Include the designator. Every state requires LLC, L.L.C., or Limited Liability Company in the legal name. Decide which form you want on contracts and invoices now, because you will be typing it for years.
  • Steer around restricted words. Terms like Bank, Insurance, Trust, University, Medical, and Engineering need sign-off from the relevant regulator before the Secretary of State will accept the filing. Unless you hold the license, pick different words and save yourself a rejection cycle.
